The Asian Infrastructure Investment Bank (AIIB) is seeking a Counsel for Institutional and Administrative matters to provide authoritative legal advice and services that protect the Bank's interests and ensure compliance with its mandate. Reporting to the Legal Department, this role supports the Corporate Secretary Vice Presidency and the Office of the President on governance, membership, and shareholder relations. Key responsibilities include interpreting AIIB's constituent instruments and internal legal frameworks, negotiating legal instruments regarding privileges and immunities, and advising on a wide range of administrative issues including HR, procurement, security, data privacy, and IT governance. The Counsel will also support staff grievance mechanisms, defend the Bank in litigation, and advise on external partnerships. The role requires drafting legal opinions, guidance, and internal correspondence, while implementing improvements to legal workflows. The ideal candidate will have strong analytical and drafting skills, intellectual leadership, and the ability to work autonomously and collaboratively with peer multilateral development banks. This position plays a critical part in sustaining AIIB's multilateral development financing mission by safeguarding against legal risks and enhancing corporate governance.

The Asian Infrastructure Investment Bank (AIIB) is a multilateral development bank whose mission is financing Infrastructure for Tomorrow in Asia and beyond – infrastructure with sustainability at its core. The mission of the Legal Department (LEG) is to sustain AIIB's mandate-based multilateral development financing by protecting the Bank's international legal status, helping the Bank make good decisions, and safeguarding the Bank against legal and other risks through authoritative, actionable, and impartial legal advice and services. LEG provides advice to the Bank's management and governing bodies on all legal aspects of the Bank's investment, financial, institutional, and administrative activities.
The Counsel – Institutional and Administrative will provide legal advice and services to support AIIB's operations and corporate governance frameworks, with a view to protecting AIIB's interests and ensuring compliance with its mandate, internal legal framework, policies, and procedures. In particular, the Counsel – Institutional and Administrative will interpret the internal legal framework, rules, institutional documents, and policies, and ensure that legal risks in institutional, administrative, and corporate governance areas are appropriately managed. The Counsel – Institutional and Administrative will also contribute to the review and drafting of internal legal documents and support initiatives that enhance AIIB's internal legal framework.
Responsibilities:
- Tailor and efficiently render legal and policy advice to support the Corporate Secretary Vice Presidency and the Office of the President on matters related to outreach to Member governments, membership, and shareholder relations, including the admission of new Members, governance effectiveness and operations of the Board of Governors and Board of Directors, and other related matters.
- Interpret AIIB's constituent instruments and governing internal legal frameworks to inform decision-making across internal functions and governance bodies.
- Develop and negotiate legal instruments with Members on privileges, immunities, exemptions, and facilities as well as in host support arrangements in support of AIIB's global presence, including arrangements for the Bank's headquarters and overseas offices.
- Adapt legal approaches and frameworks to institutional and administrative matters across HR, ombuds, corporate procurement, administrative services, security and emergency management, ethics, integrity, records and information management, personal data privacy, digital and external communications, and IT and data governance, ensuring recommendations remain aligned with evolving institutional policies and operational needs.
- Advise, support, and continue to develop the staff grievance mechanisms of the Bank, and defend the Bank against both internal and external litigation.
- Advise the Operational Partnership Department, Policy and Strategy Vice Presidency, and Multilateral Cooperation Center for Development Finance (MCDF) Secretariat on partnerships and external cooperation initiatives and MCDF governance matters, respectively, as well as on other related issues.
- Conduct research; and draft and revise legal advice, memoranda, legal opinions, guidance, and internal correspondence to address institutional, corporate, and administrative matters.
- Align institutional documentation and policies with Bank-wide governance objectives in developing AIIB's internal legal framework.
- Implement improvements to legal workflows and document processes, embedding innovation into institutional and administrative legal practices.
- Coordinate and collaborate with legal counterparts in peer multilateral development banks (MDBs) and international institutions to exchange legal perspectives and align approaches to shared governance objectives.
- Demonstrate sound judgment and take ownership of legal advice and work outputs in line with institutional standards and values.
- Contribute to internal initiatives, including legal knowledge management, guidance tools, and thought leadership publications.
- Perform other assignments at the line manager’s request to further the superior performance of the functions of LEG.
Requirements:
- Minimum five years of relevant professional experience, preferably wide-ranging experience in the relevant aspects of international organizations' (including MDBs') legal work.
- Advanced law degree, with the qualification to practice law in at least one jurisdiction.
